The website located at https://dexaiagent.xyz (the “Website”) is the intellectual property of DexAI Agent (hereinafter “we,” “our,” or “us”). These Terms and Conditions incorporate by reference our Privacy Policy and any other operating rules, policies, schedules, notices, disclaimers, and documents we may publish from time to time (collectively, the “Agreement” or “Terms and Conditions”). The Website, together with any content, functionality, our Telegram trading bot (the “AI Agent”), and tools offered on or through them — including the tool for reclaiming SOL rent and burning/closing associated token accounts (ATAs) — are the “Services.”

Please read these Terms and Conditions carefully before using the Website or any of our Services. By accessing or using the Website or the Services, you agree to be bound by this Agreement in its entirety. If you do not agree, you may not access or use the Services.

THIS AGREEMENT CONTAINS DISCLAIMERS OF WARRANTIES, LIMITATIONS OF LIABILITY, RELEASES, A CLASS-ACTION WAIVER, AND A MANDATORY ARBITRATION CLAUSE. THESE PROVISIONS ARE AN ESSENTIAL BASIS OF THIS AGREEMENT.

1. Acceptance of Terms

You agree to these Terms and Conditions when you:

• Access or use the Website, the AI Agent on Telegram, or the SOL rent reclaim / ATA burn-and-close tool;
• View any media, articles, third-party links, or content featured on the Website (the “Content”);
• Utilize any registration, contact, or feedback form on the Website; or
• Purchase a subscription or otherwise support development of the Services.

2. Description of Services (No Project Token)

DexAI Agent does not issue or sell any token. Our Services consist primarily of:

• AI Agent (Telegram bot): an experimental, informational assistant for exploring AI in crypto markets. It can surface on-chain data, analytics, and—if you enable it—automatically execute trades according to your configurations. It does not provide financial, investment, legal, tax, or other professional advice.
• Rent Reclaim / ATA Burn & Close Tool: a utility that helps you discover empty or dust token accounts in your wallet and prepare on-chain transactions to reclaim SOL rent and, if you choose, burn/close certain accounts. You remain in full control and must review and sign any transactions from your own wallet.

3. Eligibility & Prohibited Use

The Services are only available to individuals who are 18 years of age or older and legally capable of entering contracts.

4. No Financial, Investment, or Brokerage Services

Nothing on the Website or Services constitutes financial, investment, legal, or tax advice, a solicitation, or an offer to buy or sell any asset. Any insights, alerts, or outputs from the AI Agent are for informational and research purposes only. The Services are provided to explore AI-driven automation in crypto markets and are not a recommendation or endorsement of any strategy.

DexAI Agent is not a broker, exchange, custodian, asset manager, or money services business. The Services are non-custodial and informational/utility in nature.

5. Automated Trading; Controls & Assumption of Risk

• Automation You Enable: If you enable auto-trading, the AI Agent may build and submit transactions programmatically based on the parameters you configure (e.g., wallet, trade size, risk limits, take-profit/stop-loss targets, time windows). You can pause or disable automation at any time in the bot UI (or by revoking wallet approvals/permissions).
• Non-Custodial Execution: The AI Agent is designed for non-custodial use. You are responsible for any keys, approvals, delegates, auto-approvals, or hosted signers you choose to use. Review all settings before enabling automation.
• Your Outcomes: Automated execution can magnify gains and losses; it may trigger during illiquid or volatile conditions, or when routes fail. Slippage, MEV, routing issues, RPC outages, and exchange failures can result in adverse fills or missed exits. You accept all risks and outcomes of automation.
• Disable on Concern: If you have any doubt, disable automation immediately, revoke approvals, and verify wallet permissions.

6. Wallets, Non-Custodial Nature & Finality of Transactions

• Non-custodial: We do not take custody of your private keys or assets. You (or your chosen signer/approver) initiate and authorize all transactions from your wallet.
• Irreversibility: Blockchain transactions are generally irreversible. Review all details (addresses, amounts, mints, account ownership) before enabling automation or signing.
• No Refunds: Any fees paid for subscriptions or service usage are non-refundable. Network (gas) fees are not controlled by us and are non-refundable.
• Your Responsibility: You are responsible for wallet security, backups, revoking approvals/permissions with third parties, and complying with any wallet or platform terms.

7. Specific Terms for SOL Rent Reclaim & ATA Burn/Close

• Pre-checks: Ensure accounts you intend to close are empty and safe to close. Closing or burning may permanently remove access to certain token accounts and associated data.
• Risk of Loss: If you close or burn an account that still holds value or is needed by other apps/contracts, you may lose access to those funds or functions. You assume all risk.
• Fees: Network fees apply and may fluctuate. We may charge a service fee as posted in the product UI. You agree to pay applicable fees as disclosed at the time of use.
• Third-Party RPCs/Providers: The tool may rely on third-party RPCs, indexers, or APIs. Availability and accuracy are not guaranteed.

8. Third-Party Platforms & Integrations

We may link to or interoperate with third-party services such as Telegram, wallet providers (e.g., browser or mobile wallets), RPC providers, or analytics/indexing platforms. Your use of those services is governed by their terms and privacy policies. We are not responsible for their acts, omissions, downtime, data practices, or security.

9. Intellectual Property

All content and material on the Website, including logos, text, artwork, graphics, bots, and code, is the intellectual property of DexAI Agent or its licensors.

You are granted a limited, non-transferable, revocable license to access the Services for personal, non-commercial use. You may not copy, sell, modify, reverse-engineer, or use the materials in any other way without written permission.

10. Compliance with Laws

You are solely responsible for ensuring that your use of the Services and any on-chain transactions you perform comply with all applicable local, state, federal, and international laws and regulations, including tax reporting requirements.

11. Early Access Subscription and Development Notice

By subscribing to DexAI Agent, you acknowledge and agree to the following:

• Early Access Model: DexAI Agent is in active development. Some advertised features may not yet be available.
• Support-Based Pricing: Subscription payments help fund development. Early supporters may receive reduced pricing relative to future rates.
• No Refunds: Due to the nature of early access and funding-based contributions, all payments are non-refundable.

12. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless DexAI Agent and its affiliates, managers, employees, and service providers (collectively, “Covered Parties”) from any claim, liability, legal fees, or damages arising from:

• Your use of the Services (including any automated trading you enable);
• Violation of these Terms or applicable laws;
• Tax obligations relating to your transactions;
• Disputes between you and third parties;
• Claims of misrepresentation, fraud, or unauthorized use.

13. Disclaimers

The Services are provided “AS IS” and “AS AVAILABLE.” We make no warranties or guarantees, express or implied, regarding functionality, availability, accuracy, or merchantability, including without limitation uninterrupted service, error correction, virus protection, or financial performance. The AI Agent and any automations are experimental and intended for research/exploration of AI in crypto.

14. Limitation of Liability

To the fullest extent permitted by law, DexAI Agent shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages arising out of or related to your use of the Services, including without limitation:

• Loss of profits, funds, or data;
• Security breaches or unauthorized access to your wallet or devices;
• Blockchain malfunctions or network congestion;
• Downtime or errors of third-party platforms, providers, or APIs;
• Adverse fills, slippage, MEV, failed routes, or missed exits arising from automated execution you enable.

15. Class Action Waiver

You agree to waive all rights to participate in any class action lawsuits or representative proceedings against us.

16. Miscellaneous

• Some features of the AI Agent are under development. By subscribing early, you help fund and accelerate delivery.
• If any provision of this Agreement is held invalid, the remaining terms remain in effect.
• We may update or modify these Terms at any time. Your continued use of the Services constitutes acceptance of the then-current Terms.
• This Agreement is governed by the laws of the jurisdiction in which the Website is operated or, if indeterminate, by the laws of a neutral jurisdiction that do not conflict with your local law. You agree to resolve any dispute individually through binding arbitration and waive any right to trial by jury.
• The United Nations Convention on Contracts for the International Sale of Goods does not apply.

17. Additional Legal Provisions

• The Services are not intended for use by individuals under the age of 18.
• We reserve the right to modify or discontinue the Services at any time, with or without notice.
• All insights, alerts, automations, and outputs from the AI Agent are for informational purposes only and do not constitute financial advice.
• You are solely responsible for complying with all applicable tax laws in your jurisdiction.
• By using the Services, you also consent to the practices described in our Privacy Policy.

18. No Fiduciary Duty

We owe no fiduciary duties or obligations to you or any other party. Your use of the Services is solely at your own risk, and you are solely responsible for your decisions and actions.

19. Entire Agreement

These Terms constitute the entire agreement between you and DexAI Agent regarding the Services and supersede any prior agreements, communications, or understandings, whether oral or written, relating to the subject matter herein.

20. Survival

All provisions that by their nature should survive termination (including disclaimers, limitations of liability, indemnities, and dispute resolution) shall survive any termination or expiration of these Terms.
