The website located at https://dexaiagent.xyz (the “Website”) is the intellectual property of DexAI Agent (hereinafter “we,” “our,” or “us”). These Terms and Conditions incorporate by reference our Privacy Policy and any other operating rules, policies, schedules, notices, disclaimers, and documents we may publish from time to time (collectively, the “Agreement” or “Terms and Conditions”). The Website, together with any content, functionality, Telegram bots, and services offered on or through them, including any updated or new content, features, materials, and social media pages, are the “Services.”

Please read these Terms and Conditions carefully before using the Website or any of our Services. By accessing or using the Website or the Services, you agree to be bound by this Agreement in its entirety. If you do not agree, you may not access or use the Services.

THIS AGREEMENT CONTAINS DISCLAIMERS OF WARRANTIES, LIMITATIONS OF LIABILITY, RELEASES, A CLASS-ACTION WAIVER, AND A MANDATORY ARBITRATION CLAUSE. THESE PROVISIONS ARE AN ESSENTIAL BASIS OF THIS AGREEMENT.

• Purchase or interact with any community token associated with the project, including without limitation the DexAI Agent Token (“Token,” e.g., “$DEXAI”);
• Utilize any registration, contact, or feedback form on the Website.

2. Nature of the Token

The Token is a cryptographic token launched on blockchain infrastructure and intended purely as a community and creative engagement asset. It is not a security, investment opportunity, or financial product.

No governmental authority has reviewed or endorsed the Token or any associated services. The Token is not registered under any securities laws in any jurisdiction.

YOU ACKNOWLEDGE AND AGREE THAT:

• The Token is not intended to be or function as a security, investment, or financial asset;
• You acquire or interact with it purely for entertainment, expression, and engagement purposes;
• You assume all risk of volatility, technical failure, and loss of value.

3. Eligibility & Prohibited Use

The Services are only available to individuals who are 18 years of age or older and legally capable of entering contracts.

You may not use the Services if you are located in or a citizen of any jurisdiction subject to comprehensive sanctions (including but not limited to Iran, North Korea, Syria, Cuba, Crimea, Donetsk, and Luhansk) or if you are on any government-restricted party list. You are responsible for complying with your local laws.

4. No Guarantees or Investment Advice

We make no guarantees regarding the availability, functionality, value, or utility of the Token. Nothing on the Website or Services constitutes financial, investment, legal, or other professional advice.

We do not guarantee any return, resale value, or financial outcome. You are solely responsible for complying with laws and tax obligations in your jurisdiction.

Any signals, alerts, or insights provided by DexAI Agent are for informational purposes only and should not be construed as financial advice. You are solely responsible for your trading decisions and financial outcomes.

DexAI Agent does not operate as a financial services provider, brokerage, exchange, asset manager, or trading platform. The Services are informational and designed for community engagement and personal experimentation.

5. Finality of Transactions

All transactions involving the Services and/or the Token are final and non-refundable. We are not liable for lost, misplaced, or inaccessible tokens or wallet errors.

Users are responsible for their own blockchain wallets and private keys. Use of blockchain technology entails risk, and you assume all liability for loss or malfunction.

6. Third-Party Platforms

We are not responsible for any trading platform, wallet provider, or third-party site you may interact with. Trading or listing of the Token on external platforms is entirely at your own risk and governed by those third parties’ terms and conditions.

We disclaim any liability for:

• Price fluctuations or market conditions;
• Trading volume or delisting decisions by exchanges;
• Hacking incidents or data loss on third-party platforms.

7. Intellectual Property

All content and material on the Website, including logos, text, artwork, graphics, bots, and code, is the intellectual property of DexAI Agent or its licensors.

You are granted a limited, non-transferable, revocable license to access the Services for personal, non-commercial use. You may not copy, sell, modify, reverse-engineer, or use the materials in any other way without written permission.

8. Compliance with Laws

You are solely responsible for ensuring that your use of the Services, your purchase or transfer of the Token, and any related activity complies with all applicable local, state, federal, and international laws, including emerging blockchain regulations.

9. Early Access Subscription and Development Notice

By subscribing to DexAI Agent, you acknowledge and agree to the following:

• Early Access Model: DexAI Agent is currently in development. Some features and services advertised may not yet be available at the time of your subscription.
• Future Delivery of Features: Your payment does not guarantee immediate access to all features. You are securing early access to upcoming tools, which will be delivered as development progresses.
• Support-Based Pricing: Subscription payments help fund development. Early supporters may receive reduced pricing relative to planned future rates.
• No Refunds for Development-Based Subscriptions: Due to the nature of early access and funding-based contributions, all payments are non-refundable.

10. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless DexAI Agent and its affiliates, managers, employees, and service providers (collectively, “Covered Parties”) from any claim, liability, legal fees, or damages arising from:

• Your use of the Services;
• Violation of these Terms or applicable laws;
• Tax obligations relating to your transactions;
• Disputes between you and third parties;
• Claims of misrepresentation, fraud, or unauthorized use.

11. Disclaimers

The Services are provided “AS IS” and “AS AVAILABLE.” We make no warranties or guarantees, express or implied, regarding functionality, access, accuracy, or merchantability.

We specifically disclaim all warranties regarding uninterrupted service, error correction, virus protection, or financial performance.

12. Limitation of Liability

To the fullest extent permitted by law, you agree that DexAI Agent shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages arising out of your use of the Services or the Token, including:

• Loss of profits or funds;
• Data loss;
• Security breaches;
• Blockchain malfunctions;
• Use of third-party services.

13. Class Action Waiver

You agree to waive all rights to participate in any class action lawsuits or representative proceedings against us.

14. Miscellaneous

• Some features of the DexAI Agent bot are under development. By subscribing early, you help fund and accelerate delivery.
• If any provision of this Agreement is held invalid, the remaining terms remain in effect.
• We may update or modify these Terms at any time without notice. Your continued use of the Services constitutes acceptance of the current Terms.
• This Agreement is governed by the laws of the jurisdiction in which the Website is operated or, if indeterminate, by the laws of an internationally recognized neutral jurisdiction that does not conflict with your local law. You agree to resolve any dispute individually through binding arbitration.
• You waive any right to trial by jury.
• The United Nations Convention on Contracts for the International Sale of Goods does not apply.
• The Services and the Token are community-driven and may operate in a decentralized or pseudonymous manner. No single individual or entity can be held liable for your use of the Services.

15. Additional Legal Provisions

• The Services are not intended for use by individuals under the age of 18.
• We reserve the right to modify or discontinue the Services at any time, with or without notice.
• All insights, alerts, and outputs from DexAI Agent are for informational purposes only and do not constitute financial advice.
• You are solely responsible for complying with all applicable tax laws in your jurisdiction.
• By using the Services, you also consent to the practices described in our Privacy Policy.

16. No Fiduciary Duty

We owe no fiduciary duties or obligations to you or any other party. Your use of the Services is solely at your own risk, and you are solely responsible for your decisions and actions.

17. Entire Agreement

These Terms constitute the entire agreement between you and DexAI Agent regarding the Services and supersede any prior agreements, communications, or understandings, whether oral or written, relating to the subject matter herein.

18. Survival

All provisions that by their nature should survive termination (including disclaimers, limitations of liability, indemnities, and dispute resolution) shall survive any termination or expiration of these Terms.
